As GameStop investors question why the company has not released its 10-Q, I figured I would analyze the matter regarding developments regarding that 10-Q, since the 10-Q delay like this routinely implies a buyout is taking place, or has already taken place. Everyone knows what Ryan Cohen previously asserted: Towel stock's Buy Buy Baby asset that he was interested in, right now, should be valued at $1 - 2 Billion. But what about the total value of Towel Stock assets (including its legacy liabilities) combined? Note that this analysis is independent of the facts: that the company still sells $6 Billion in product on an annual basis, that its price to sales analysis shows the company should be worth an order of magnitude more, completed expenditures reduction, exponential e-commerce growth, shipping upgrades to allow for 1day shipping already (this also happened with GameStop). This analysis also ignores Buy Buy Baby's valuation. That discussion no longer matters. Here's why: Upcoming Developments
As we know, major questions about mergeacquisition and HBC being a proxy of sorts. Share recall and split is common for a dilutive acquisition that has already completed. The DD on why HBC would politely abide until April 3rd, from today's Towel Stock filing, means that April 3rd is very special. It evidences that they know and have every reason to expect that Towel Stock will be above $1.00 again already by that time. Yet, there are 6 open-market investing days until that point. Towel Stock is undergoing a share date of record on Monday the 27th (fascinatingly, this came quick) for an upcoming split vote. A lot can happen regarding the date of record for voting on the split. The filing says even if the vote passes, it may not be enacted (gee, I wonder what type of acute price action could render such a reverse split as unnecessary???). on Monday the 27th, and between now and that April 3rd date of further capital injection, droves of data points to a possibility that the true buyer could be revealed in that time. Ryan Cohen joined Dragonfly sometime around July of 2020. He has been working on this a long time. Seeing the board stepdowns by Brett Icahn (i.e, apple not falling far from the tree) and Dragonfly (the profit-making squad) could be another giveaway. Nevertheless, Towel Stock's survival curiously mimics GameStops. After all, Towel Stock is still continuing operations after it was the subject of a historic MSM attack with financial managers falling from buildings. GameStop's and Towel Stock's survival does speak for itself. Yet, why has Towel Stock survived? How did they survive? Let's take a look. So there we were - when media outlets were chanting Towel Stock "CoUlD FiLe FoR BaNkRuPtCy bY ThIs WeEkEnD." It didn't happen: and now nearly 60,000 of those investors are sync'd up in their own stalwart room. I have never before observed such a high rate of user growth for a subreddit. It could be higher than SuperStonk's initial rate of user runup. Anyway, I digress. Let's dig: From Towel Stock's Recent Filings:
March 8th, 2023: "the Company has received an aggregate of $135.0 million of proceeds from certain exercises of the Preferred Stock Warrant, most recently reflecting the aforementioned $87.5 million of proceeds (the “March Proceeds”) received on March 7, 2023, for an aggregate amount of $360.0 million of proceeds received by the Company since, and including $225.0 million of proceeds received in connection with, the closing of the previously announced public offering of certain of the Company’s securities on February 7, 2023" Essentially, they're saying $225M + $135M = $360M (a third of a billion in cash added on top of their cash on hand) March 13th, 2023: Until April 3rd, 2023. In addition, the Threshold Share Amount referenced in the Price Failure definition is increased to 24,739. This amendment will further facilitate up to $100 million of additional funding in April 2023, for a cumulative total of $460 million to date. The simple calculation for net asset value is outstanding shares x share price. And if the most recent share outstanding report is accurate, then the net asset value is currently above a quarter billion dollars already. The Friendly Takeover

Shares outstanding after this offering is complete is based on a changing volume weighted average price (VWAP). Currently, 335,404,588 x $0.7861 = $263,661,546.62 market cap. After the offering, assuming (for whatever reason) the company stayed at $1.00. We'd end up with just about $0.5 Billion market cap, at around 450,000,000 shares. At a reduced stock price due to the buyout, the company will have about $0.8 Billion in liquid cash, with a $0.5 Billion market cap. ​
Referencing the diagram above, if all previous owners of Towel Stock represent 1, then today there are a total of 3 owners (2 new, 1 old). In 7 business days or so, there are 4: (1 old, 3 new). The definition for this is an already-completed dilutive acquisition. Yet, the 'before and after' math, in the shares and market cap totals, prove a bona fide buyout and takeover of the whole company by raw share ownership. The buyout has already fundamentally occurred. This is prima facie evidence of new ownership. By April 3rd, the new owner(s) will get a tad more shares, and then the company will already be at $0.5 Billion in market cap. Yes, this is independent of all of the other M&A indicators that came, like GME pulling its credit, Towel Stock hiring of kirkland and ellis, hiring M&A specialists, hiring power of attornies, the RSAs and vested shares, buying out the Towel Stock board's shares, Towel stock having the same lawyer team as GMERICA, recent icahn/dragonfly board dropouts, etc etc. ​

By math, Towel Stock has already been bought out via a completed share takeover: 3 new owner(s) in relative share count for the 1 joint/previous shareholders.
GameStop is a stones throw away from HBC, and the fact that GMERICA's attorney IS the Towel Stock attorney is also the giveaway of the association of who bought it out. GameStop's board members are clearly involved, as is Brett Icahn, due to the proximity in timing of Chang, Day, Pulte, Icahn, and Cohen board movement. Out of respect for the company, I don't want to get ahead of their official announcement. Yet, since GameStop is clearly involved, by several facets, this prima facie evidence of a takeover indicates bona fide company strength of GameStop Corp, AND/OR it indicates clear company strength of GameStop's associated individual board members. Good luck to all, and I appreciate each and every one of you. Other hubbub on this no longer matters: the deal is done, and HBC was the proxy to conduct business.

Sometime in early Feb, I ordered a personalized CA Legacy Plate. I had no problem with the word I ordered, it was available in many forms spelling to choose from. I remember paying $50.
End of March and they are nowhere to be found? I have no confirmation email, anywhere. No transaction from my bank, or a credit card.
To test my theory, I tried to re-order, and my word is now immediately unavailable.
This made me feel somewhat better, as maybe it is unavailable because I have it?
I know word on the street is that Legacy Plates can actually take 6 months, or even more more to appear.
I just feel nuts? I have no paper trail, but, I know I ordered them. Do I have no paper trail because the DMV didn't have the spelling available? If so, I heard they keep the $50 fee anyway.
My work schedule doesn't allow me to visit a DMV or even call during office hours.

- Santino's lingerie line: Not sure how he unintentionally did it but the three models honestly looked identical to gingerbread women.
- Sandyha's futuristic dress: When I first saw the photos of this runway, I thought she made a dress inspired by snakes (possibly those in a more deserted area), a very clever interpretation of it I thought. Obviously the "suspenders" looked like snakes and that pink color she used for the base very much gave a desert feel, in addition to the makeup. Looking at the challenge brief it made sense as it was "inspired by your childhood." Actually watching the episode, this actually had nothing to do with her outfit. Honestly though I find the story of it being inspired by snakes to be MUCH more intriguing than simply "I used metal suspenders because they looked futuristic."
- Kini's umbrella dress: Not a totally different interpretation but I actually LOVED the hat (even though the judges didn't). To me, his dress told the story of classy (possibly 1930s) woman stuck in a rainstorm and than you look closer and realize her dress is an umbrella. I think he wanted the hat to be the handle of the umbrella and for the entire outfit (including the hat) to resemble an umbrella. I personally like it better though that it looks like a classy 1930s woman stuck in a rainstorm who's dress resembles an umbrella though. Also, despite the hat being more 1930s, I find the look very timeless.
- Ashley's entire final collection: I guess I never really listened to her speech beforehand because until rewatching I had no clue it was intended to be inspired by a Mexican city. I don't get that at all. I thought the line was intended to be a more spring church/ dressy but not super formal clothing line. I got spring and Eastechurch from the line but not at all the Mexico inspiration.

I dash in a small market in East Idaho and every dasher I compare notes with claims to make more than $20/hour. I resigned myself to being the worse dasher in town. Today I noticed if I use Active Time I'm making over $20/hour. Is there a standard set for calculating $/hour? Usually 6-1/2 to 7 hours Total Dash time I can make $100, so about $15/hour. Is it possible I'm not the worse Dasher in town?

I haven't written in a long time. and here are some things that occur to me after recent updates.

1. Hp pots are bugged (they show how much hp we have. Should they show how much they heal us?)
   
   1. why there are no added appearances for the priest? (has 4 and other classes have 6)
   2. events should be added for 24h? you added an event for 12 hours per day in your time zone. but in Europe practically the whole event was at night, so in total I played it for 2 hours. (18.00-6.00) I think it lasted something like that. to be fair, I think it should be 24h so that everyone can play at the time they always play.
   3. Can eg a warrior and a priest also get the ability to cast without a selected monster? why did only the archer get this opportunity?
   4. playing on the phone in a vertical position is great, but you need to improve it. but don't leave the idea. -I would reduce the chat window slightly to make it more readable.
   5. I would move the screen slightly to fit 1 square on the side.

TLDR: Have you ever used a simpler program because it was easier to get the job done?
The two programs I use are DaVinci and Filmora.
These two programs are on total opposite sides of the spectrum when it comes to intensity.
But as amazing and powerful as DaVinci is, sometimes it’s just way easier to open up Filmora.
For those that don’t know…The difference would be like comparing Microsoft word(DaVinci) to your phones notes section (filmora).
Full disclosure I am still very new to DaVinci but as a podcaster, video essayist, and a freelance editor, sometimes the simplicity of filmora is way better.
The UI is intuitive.
It’s literally easy on the eyes
It’s just simple and gets more then the job done.
But DaVinci is a hardcore and intense program that can be used to tell immaculate and intricate stories.
It’s built in programs will outperform other softwares and unless you need to use blender, it has everything you’ll ever need.
It’s a real filmmakers software and if you’re proficient at it, there’s nothing you can’t accomplish.
But for a lack of a better word, it’s slow. And I don’t mean its literally slow. I just think the UI is too busy for certain jobs and it’s makes the editing process more busy and overwhelming.
Here’s a great example: in DaVinci, animating your own effects and graphics with nodes takes a very long time (depending on goal) whereas in filmora it’s was more intuitive for simpler tasks making nodes seem like more of a hassle. But eventually when you want to get more intricate with your animations, nodes will be better.
Idk, I just think sometimes using the lower trait software helps with jobs more. And sometimes the higher tier software helps more.
Especially with actual filmmaking, you should use DaVinci for its color and fusion alone. But for other things, maybe you don’t need it.

Azure Infinitum is an LGBTQ+ friendly community, and welcomes players of all experience level, play style, and availability. We're a warm home with a balance of online players, weekly optional activities, and flexible ranks from our membership, to our support & leadership categories. Our community has an organized ranking structure beginning with Members who comprise the majority of the roster. Scouts are our support team of Members who've stepped up to more officially support the FC, some work on obtaining a future leadership rank. Lieutenants and Officers comprise the proud Azure Council, a diverse group of players of different specialties and services to the FC, making up lower and higher tier leadership, seeing over the Scouts and the FC weekly events, aside from being admins. The FC Infinitum Master oversees all and leads the Azure Council and the company forward while always keeping the heart and vision of the community alive and in sight. Currently we are re-assessing ranks in the free company, giving more support permissions and duties to our Scouts, while the current council operates as a small team of Lieutenants lead by the FC Master.
Everyone Welcome and Who Fits Best
We have an open door policy. Whether you're casual, a returning player, a veteran, or a newbie, we have a vast array of players in our member roster. Our weekly schedule is organized and provides an array of activity for players of most levels, however we like to ask players who're pretty new or under the level cap, to be extra vocal about their needs while they're still unable to attend some daily events or higher level content that most of our weekly lineup focuses on. We want everyone to have as much fun as possible and have the most success. We find that most players enjoy Azure Infinitum, many have stated that they subscribed to FFXIV much longer than they ever would have imagined after they have been around in our community, as they've gotten involved and experienced all that we offer.
Our FC keeps a daily schedule (see here: https://www.azureinfinitum.com/events/) of events that are hosted by permitted Scouts and Council ranks, these range from 8-man and 24-man raids and map parties, to WT journal groups and trial clear parties or farms, and more- and attending anything isn't mandatory at all here. We're happy to have you, and its up to our members how much they'd like to get involved. Attendance is optional! There's never any stress to attend FC functions.
Savage Raiding Statement
We find that some hardcore raiders looking for free companies just to join their statics who don't already have one, might not fit well if savage raiding is their only or greatest focus, because traditionally Azure does not have a Savage Static, but focuses more on allowing members to organize their own groups and also provides resources to do so. Despite not supporting an official static for the FC, we hope that hardcore raiders enjoy the wealth of our community's wealth of harmony and overall fun, and that everyone may take initiative to seek out or build a raiding static within our community if they are interested, as opposed to missing out on experiencing Azure. Depending on the content season, we may have an Unofficial static lead by a leader, and routinely offer limited time Savage-learning events that may run for a number of months.
Rules and No Drama Policy
Please take a moment to look over our Rules Page at (https://www.azureinfinitum.com/rules/), we find that rude individuals and people who create drama are the outsiders here that don't fit well. We know its a big page, so at least visit the General Rules section before joining.
Recruitment Care & Activity
People of Azure Infinitum are often if not always good natured players who found their way to our community looking for a place with structure, friendliness, organization, and great activity, or they've been scouted during recruitment drives and have been well screened. Its a place where one can be social and attend everything, or relax in the background and enjoy the services and facilities of being in an active, organized, and friendly FC. We actively recruit periodically to assist with upkeep of community activity levels, and to meet new comrades. A community that closes recruitment can be doomed to stagnation. Its normal for a community to have an inner core of die hards who log in daily regardless of content releases, and also have an outer core of individuals that range from those with less availability to those who check in during Patches. This is why we take extra care in keeping the fresh blood flowing into Azure, cautious recruitment, and support our active model by always staying welcoming and sometimes running recruitment campaigns and other services. Like this ad!
Handling Online Drama
Because we keep a no-drama policy and have a strong communication network, it is leadership's ultimate priority to handle any issues that may come up as soon as possible, and most people appreciate our problem solving which has inspired many other communities. Between our Support & Leadership ranks, we use a number of report and resource channels to handle situations, and perform problem solving protocols & tactics to fairly address issues as possible. Drama is inevitable at some point for any online community, so its important to have a large and strong list of moderators (currently around 60!) and a council of leaders (15+) to quickly handle any problems. Luckily, we don't have a lot of drama, but we're always very well equipped and very prepared. Our community has been commended by game staff in the past for our methods, and we have worked with the FFXIV Special Task Force to ensure as much safety to our community as achievable. It should be stressed that it is up to our membership to report to GM's in-game, and to Azure Leadership should any issues or concerns come up. Its also highly recommended that our members appropriately document evidence that can be used to help us assess situations and make proper decisions. Documenation such as screenshots of harassment is a great example! Our members online safety is greatly important to us and is a number one concern of our leadership team. Our Rules Page at: (https://www.azureinfinitum.com/rules/) describes a bit more in Chapter 3, including other entries on avoiding/ignoring trolls, playing while intoxicated, depression, and more.

Estate Organization
We have the entire set-up at our estate, from gardens for members and Krakka Root production (free for members' chocobos), to our stables, nicely uniform clean lawn with hangout spots that are popular, with crafting stations, all available NPCs for simple mats and repairs, cut-scene viewer, toybox, triple-triad board, a fully operational and geared fleet of airships and subs, and our Azure Infinitum Assembly Chamber on the top floor for our meetings where announcements are made at our Grand Assemblies. We also have an organized form of gathering for weekly events in the yard, places to relax, food that is always available on tables at our Cellar, and hold a lot of special events and social games at our Hall. We're also conveniently located next to a Market Board and a Retainer Bell outside of our estate.

Even though we have several avenues that keep people connected, our live assemblies gather the FC in unity where announcements are made first, and all proposals, ideas, and more, can be decided together live with the Azure Council present.
This network ensures a lot of information and communication gets around and has been exceedingly useful to us.
More On Events
One part of our reputation that often precedes us is our event crafting and hosting.
First, let me make sure its clear that attendance is never mandatory, but those who can make use, when possible, of what we provide each day, benefit from our events each week.
Since our beginning, traditions like our Thursday Treasure Thursdays events have run each week. Our weekly line-up presently begins on Tuesdays post-weekly reset, and consists of Raid Tuesdays, Wondrous Wednesdays (WT Journal Parties, often doubles as Trial Clears and Pony Drops), Treasure Thursdays (Endwalker's timeworn maps with groups of 8 doing up to 3 rounds of maps allowing for up to 24 maps ran), 24-Man Tuesdays (full pre-formed Azure 24-member alliances are made and raids are cleared, will be returning upon the release of EW's 24-man), Super Azure Slayer Sunday (our weekly meetup to do all sorts of PVP content be it Rival Wings or Frontline), and Monstrous Mondays (helps clear the current and previous patch extreme trials).

We also have what we call Special and Quarterly Events. These types of events are Weekend-Long-Events that usually consist of a theme or celebratory social events we craft. During these events we hold big Riddle Races, Costume/Glamour shows and contests, 3-Story Mansion Maze Races, Speedrun Dungeon Races, Hide and Seek games, Custom Quest Events, Discord events like Cards Against Humanity nights, Comedy events, PVP Tournament Circuits, and more.
Our Special and Quarterly events are Azure Day Weekend (Takes place 3 times a year across a weekend, celebrates the FC), Azure Summer Festival (3-days at the end of August in partnership with Child's Play, raises money for children in long-term care, anniversary of historic FC event called the Lunar Rebellion), Anniversary Azure Day (a big weekend event in November that celebrates our Founding), Azure Day Saint's Wake (celebrates Halloween/All Saint's Wake), Azure Starlight Day (celebrating Starlight Day/Christmas/December Holiday Season), Azure Grand Melee and Duel Tournaments (PVP Circuit series crowning our PVP Champions) and more.
Azure Day Weekends
If you've been around our server you may have heard of our Azure Day Weekends. Our Azure Days take place quarterly as mentioned just above, with four evolved editions called Azure Summer Festival, Azure Day Saint's Wake, Azure Starlight Day, and Anniversary Azure Day. With Azure Day Weekends and related events traditionally occuring quarterly our members are always excited to see the next big weekend of crazy and fun social games, and our showering of the free company in gil and prizes galore. We go all out when we celebrate the free company, and Azure Days are another way we find for leadership to give back to the community. 2023 and beyond is now host to additional seasonal Azure Day events!
We're always giving our members a chance to have fun, win big, and make some great memories in the in-game family we've become. Something fun is always on the horizon in Azure.
Community
I almost can't stress enough how friendly our community is. We have a vast variety of members from hardcore gatherers and crafters, social butterflies, chill veterans, experienced raiders, level grinders, support teams, PVP aficionados, mechanic specialists, and mentors. We're also very friendly to all casual players as well and we keep an open door so long as recruits are always aware that we have a no-drama tolerance here.
​Evolution into a Gaming Clan & Network
Plans are in the works and foundations are being laid that is slowly turning our community into a larger gaming network, with our first established Azure Wing with regular occurring activity being founded in Monster Hunter World, this has led to a successful Destiny 2 clan and more. Becoming a member of our Discord and/or Free Company now means access to things like our huge discord, Azure Wing membership in other games, and being able to join in on any of our other activities in the general community. Azure Network as its being called at the moment, is growing with an all-new website and community features for playing together across Final Fantasy XIV and to Azure Skies beyond!
Activity
We rank high as one of the top FC's in Worldwide Activity on lodestone, and have for a long time. Most of our players are divided between the US East and West Coasts, members in East and West Canada, and a few outside the US or in EU or Aus zones. Because we do have an activity policy (mentioned below) we keep a standard flow of people, and have crowds in the early morning, late morning, early afternoon, afternoon, evening, and late night crowds.
Elitism isn't our style. Our community boasts a broad range of characters, great personalities, the proud, and also some silly goofs. But elitism isn't welcome, no matter how successful we are or how large we grow. We're always welcoming towards fresh faces interested in joining our guild, and the in-game activity ranges between 30-60+ online at once during prime time hours, sometimes around 70+ on patch days, and usually always with half the roster logging in throughout a 24 hour period, and around 15-30+ during the night.
Activity Policy
We ask that our members do not go missing without logging in for more than 60 days straight. If we hear word from someone or have some kind of decent excuse, we place our members on our On Vacation rank, which lasts presently until 90 days have passed. Exceptions are made for military deployments, hospital stays, financial issues, disability/health related issues, moving, or other reasons that might fall on a case-by-case basis.
All members not heard from in 60 days (roughly 2 months) or currently 90 days (roughly 3 months) are discharged. We allow 3 joins to Azure Infinitum in total, but exceptions can be made due to reasons listed above. If removed for inactivity, or you've left our FC for another reason and haven't already joined 3 times, you're always welcome back, but please remember, we are not a revolving door.
Keeping our roster full of members who have been online and presently play the game actively ensures an active environment for our players who play often. It also keeps our credits and clerical processes balanced across our network, and allows space for new faces to join our big happy in-game family of comrades.

I promise I will keep this short. I recently broke up with my girlfriend about three weeks ago, and have been hanging out with one of my old friends (I wanted to reconnect as I feel we have grown distant in the past and only grew more apart when I got in my relationship). Anywho, we talked recently and they asked about why I did it and how I felt etc. I told her how I felt and that I was ready to move past it. I don’t like dwelling on the past and lord knows if I did I would truly be miserable. Yes I am sad that the relationship ended but I feel as if it was the right decision and there are better things ahead of both us who were in the relationship. Well fast forward to today and I’m looking at this persons story, and they like totally put me on blast. They didn’t necessary say it was me they were talking about but I knew who it was. “Men really just go ‘oh I recently broke up from a long term relationship but I think I’m ready to get on with my life’” Now at first I was mad cause it seemed she was talking behind my back, but now I’m like 100% sure she knows I’m on this private story, and that hurts the most. I talked to her in a private setting thinking I could trust them, but it seems that was not the case. I know she didn’t necessarily say it was me, but I’m sure she told anyone who replied to the story. Idk, maybe I’m mad for no reason but I feel as if our friendship that started in our preteens has just gone down the drain. I feel conflicted and betrayed. I don’t know how to feel.

I'm in the 24% fed and 9.3% state (CA) tax brackets. Currently max out both a Traditional 403(b) and Roth IRA at a total of $29k in savings at a cost after taxes of $32,245. It looks like I will soon be able to budget $35k out of my gross income for savings.
Best I can tell it would make more sense to reduce my Traditional contribution, start contributing to my Roth 403(b) option, and paying income taxes now, instead of opening a brokerage account and paying income taxes and capital gains.
It then goes to follow I should keep transitioning from Traditional to Roth as my ability to save increases until I max out the 403(b) Roth option before opening a brokerage account.
Simply, I am currently choosing Traditional over Roth for my 403(b), but since I am at the max contribution amount, I am better off choosing Roth over a brokerage account by reducing my Traditional contribution and starting/increasing a Roth contribution.
Do I have that right? Is there something I am missing?

I'm looking for Japanese lesson that are structured and focused only on conversation.
When I've studied English, I've attended a school called Callan, which was using a method based on purely conversation and repetition, I'm trying to find something similar for Japanese, but haven't had much luck:
The teacher ask you something, you get couple of second to formulate your answer, in case you don't reply immediately your teacher gives you the answer and you repeat it. you start from basics like what's this? this is a pen (pointing at the object) to slowly growing in more difficult phrases. the following lesson, you repeat part of the previous lesson questions, and some new one.
you are provided with a book listing the lesson's questions and answer, but you revise word and new sentences at home, and you focus on pronunciation and exercise speaking the language much more than what you would do in a classic language lesson.
does anything like this exist for Japanese?
I totally understand this method might not work for anyone, but I've fund it really useful and really helped my English speech skills
(I've found one called japan language factory but the review seem to hint that the school is quite dodgy.)
I've also heard of Michel Thomas Method, but i'd prefer something with live lessons, rather than a limited 8 lesson "box" course.
